   KGIB is a wholly-owned subsidiary of KGI Financial.
5.Cause of occurrence:
  (1) Public announcement has been made on July 19, 2024 that KGIB plans
       to incorporate KGI Asset Management Co., Ltd. (“KGIAMC”, formerly
       known as China Development Asset Management Corporation) as a
       wholly-owned subsidiary through a share swap and will issue new
       common shares to KGI Financial as consideration for acquiring all
       issued shares of KGIAMC held by KGI Financial.
  (2) The FSC approved the aforementioned two cases on August 14, 2024 and
       October 30, 2024 with the letter No.11301431422 & No.1130360253
       respectively. The designated person of both parties has determined
       the effective date of the share swap to be November 1, 2024.
