(1)Approval of the resolution to merge CDIB Venture
Capital Corporation (surviving company) with both R.O.C.
Strategic Company Limited  and  CDIB Strategic Venture
Fund, Ltd. (dissolved companies).
(2)Approval of the resolution to increase the newly
issued ordinary shares of 141,194,190 shares at par value
of NT$ 10 for the merger transaction.
(3)Approval of the revised Articles of Association.

with Article 128-1 of the Company Act, the rights and
functions of the shareholders' meeting shall be
exercised by the board of directors of the Company.
