2.Important resolutions:For the long-term developing strategies, based on the related regulations and laws including ”Company Act”, ”Business Mergers And Acquisitions Act” and ”The Financial Institutions Merger Act”, it is resolved that the commercial banking business (including the associated assets as well as liabilities) of China Development Industrial Bank (hereinafter referred to as ”CDIB”), the shares in CDIB's leasing subsidiaries and the shares in Taiwan Financial Asset Service Corporation held by CDIB be categorically assigned to and assumed by the Bank. The Bank is planning to pay the transfer consideration in cash of New Taiwan Dollar 38 billion to the CDIB.
